Notice of General Meeting of the Members
The GKHA Board of Directors is calling a General Meeting of the Members on Monday, August 21st, 7:00 PM at the Invista Centre for the purpose of:

a)  voting in relation to a motion of the Board of Directors to repeal the prior Constitution enacted on May 5, 2010 and
b)    voting in relation to a motion of the Board of Directors to repeal By-Law No. 1 enacted on May 5, 2010 and
c)    voting in relation to a motion of the Board of Director to repeal By-Law No 2. enacted on May 5, 2010 and
d) voting on a motion from the Board of Directors to ratify and confirm the New By-Law passed by the Board of Directors on July 2 2017.  

At the General Meeting of the Members on October 27th 2016 a motion was passed by the members to strike a Constitutional Review Committee for the purpose of updating the existing Constitution and By Laws. The Committee submitted their final report to the Board on December 23, 2017. The Board met in January, submitted their requested to changes to the Committee. A final document was accepted by both groups by January 16 2017. A Special Meeting of the Members was called on February 13th 2017 for the purpose of discussion on and receiving requested changes to the document from the Members. These requests were taken back to the Committee and Board for final approval and ratification. On Monday July 2, the newly proposed version of the New Constitution and By Law was ratified by the Board.

Overview of Major Changes includes but are not limited to:

  • The existing Constitution and By Laws were combined into one document and updated to include terminology from the Ontario Not for Profit Act which will be coming into force in the next few years;
  • Membership Terms were more clearly defined including class of membership, membership year and voting privileges;
  • The Board Terms and Responsibilities were more clearly defined. Board Member numbers were increased to 11 members, the Board Titles were updated and the Job Descriptions written;
  • The financial year was moved to match the membership year and the AGM was moved to the spring as was the election of Board Members;
  • A second annual meeting of the members was added in the Fall and the purpose and agenda of both was defined;
  • Standing Committees were established and responsibilities of the Committees defined.

If a member wants to submit a proposed amendment to the newly proposed Constitution and By Law, all motions to amend must be submitted 14 days prior to the meeting date in writing via email to the Secretary @ [email protected] Only motions to amend that are submitted 14 days prior to the meeting date will be read, discussed and voted on at the meeting.
